These Terms are the terms of the provision of services by electronic means within the meaning of Article 8 of the Act of 18 July 2002 on the provision of services by electronic means. They cover the use of the OneRental application by companies that rent out vehicles and equipment. If you are reserving a vehicle on a booking page run by a rental company, the Booking site terms apply to you, not this document.

1. Definitions

  • The Provider / we – Digital Development, a sole trader business entered in the Centralna Ewidencja i Informacja o Działalności Gospodarczej (CEIDG, the Polish register of sole traders), NIP PL6372208579, REGON 384504071, address: Leśna 1B, 32-310 Rodaki, e-mail: support@onerental.app.
  • The Application – the OneRental software made available in the SaaS model at onerental.app and on its subdomains, together with the management panel and the public booking pages.
  • Customer / you – a business that has concluded the Agreement with us and uses the Application in the course of its activity (a vehicle or equipment rental company or similar).
  • Account – the set of the Customer's resources and permissions in the Application, linked to an Organisation (tenant).
  • User – a natural person to whom the Customer has granted access to the Account (owner, employee, contractor).
  • Renter – the Customer's end customer, who reserves or rents a vehicle or equipment.
  • Customer Data – all data entered into the Application by the Customer, its Users or Renters, including renter data, reservations, documents, photographs and settlements.
  • Plan – the subscription variant that sets the limits and the range of features (Trial, Starter, Growth, Pro, Custom).
  • Billing Period – a month or a year, according to the chosen payment cycle.
  • Agreement – the contract for the provision of services by electronic means concluded on the basis of these Terms.
  • Data Processing Agreement – the Personal Data Processing Agreement, which forms an integral part of the Agreement.

2. General provisions

2.1. These Terms set out the rules for providing services by electronic means, the conditions for concluding and terminating the Agreement and the complaints procedure.

2.2. The following form integral parts of the Agreement: the Privacy Policy, the Cookie Policy, the Data Processing Agreement and the Subprocessor list.

2.3. We make these Terms available free of charge before the Agreement is concluded, in a form that allows them to be downloaded, reproduced and stored.

2.4. The Application is intended for businesses only. We do not provide services to consumers; the rules for sole traders with consumer rights are set out in § 17.

3. Type and scope of the services

3.1. We provide access to the Application in the SaaS model – we do not sell a licence to a copy of the software and we do not hand over source code.

3.2. The functional scope covers in particular:

  • managing the company, its branches and employee permissions,
  • managing the fleet of vehicles or equipment, together with servicing and damage records,
  • managing renters, reservations, handovers and returns,
  • generating documents (rental agreement, handover protocol, payment confirmations),
  • a public booking page (own subdomain or the Customer's domain) together with online reservation,
  • e-mail and in-app notifications, reports and data export.

3.3. The range of features depends on the Plan. We publish the current limits (number of vehicles, branches, Users) and prices on the Pricing page. Vehicle limits are enforced technically.

3.4. The service is provided in the version available at a given time ("as available") and is being developed. We do not undertake to implement any particular feature unless we have agreed this in writing under the Custom Plan.

3.5. We are not a party to the rental agreements concluded by the Customer with Renters, we do not act as an intermediary in concluding them and we are not liable for their performance. Nor are we a payment service provider within the meaning of the Payment Services Act. Renters pay rental charges and deposits on collection of the vehicle, directly to the Customer – the booking site does not accept online payments. Through Stripe we settle only the Customer's subscription for access to the Application (§ 6).

4. Technical requirements

4.1. To use the Application you need: a device with internet access, a current browser version (Chrome, Safari, Firefox or Edge – the last two major versions), JavaScript and cookies enabled and an active e-mail address.

4.2. Some features (photographs at handover and return) require a device with a camera and permission to access it.

4.3. The Customer and Users are prohibited from supplying unlawful content.

4.4. Using the internet involves standard risks (malicious software, interception of transmissions). We recommend using up-to-date security software and multi-factor authentication wherever it is available.

5. Conclusion of the Agreement, the Account and the trial period

5.1. The Agreement is concluded when the Account is created and acceptance of these Terms is confirmed, and in the case of the Custom Plan – when a separate order is signed.

5.2. Registration requires providing an e-mail address and confirming it, or signing in with a Google account. By creating an Account you declare that you are authorised to represent the Customer.

5.3. Trial period. A new Organisation receives a 30-day trial period without providing card details. After it ends, access to write features is restricted until a Plan is purchased; Customer Data remains available for reading and export in accordance with § 12.

5.4. The Customer is liable for the actions of its Users as for its own, including for the scope of the permissions granted to them and for keeping login credentials confidential.

5.5. One Account may serve only the Customer's own activity. Reselling, giving third parties access or providing services to other rental companies from a single Account requires our prior consent.

6. Prices, payments and changing the Plan

6.1. We quote Plan prices in EUR or PLN, as net amounts; VAT at the applicable rate is added to the price. The currency is set at the first purchase.

6.2. The subscription is payable in advance for the chosen Billing Period. Payments are handled by Stripe Payments Europe, Ltd.; we accept payment cards and other methods made available by Stripe. We do not store full card details.

6.3. Automatic renewal. The subscription renews automatically for the next Billing Period unless it is terminated in accordance with § 11. The charge is made on the renewal date according to the price list in force at the time of renewal.

6.4. Changing the Plan. An upgrade of the Plan takes effect immediately, with a proportional settlement of the difference. A downgrade of the Plan takes effect at the end of the current Billing Period; we do not then delete data above the limit, but we block the addition of new resources until you go below the limit.

6.5. Price list changes. We give notice of price changes at least 30 days before they take effect. The change applies from the next Billing Period; if you do not accept it, you may terminate the Agreement with effect at the end of the current Period.

6.6. Late payment. If the subscription is not paid, we send a reminder and set an additional deadline of no less than 7 days. Once it passes without effect, we may restrict access to write features, and after a further 30 days – terminate the Agreement in accordance with § 11.4. We charge statutory interest for late payment in commercial transactions in accordance with the applicable provisions.

6.7. We issue invoices electronically and make them available in the billing panel. You accept receiving invoices in electronic form.

7. Rules for using the Application

7.1. The Customer and Users may not:

  • use the Application contrary to the law or these Terms, or in order to infringe the rights of third parties,
  • share login credentials with unauthorised persons,
  • attempt to circumvent security measures, Plan limits or access controls, or test the security of the Application without our written consent,
  • decompile, disassemble or reverse engineer the source code, beyond the scope permitted by mandatory provisions of law,
  • download data in an automated way or in a way that loads the infrastructure beyond normal use,
  • use the Application to send unsolicited commercial information to Renters.

7.2. The Customer is responsible for the lawfulness of Customer Data and of the content published on its booking page, including for the information duties towards Renters, the rental terms, the prices and the markings required by law.

7.3. We may apply technical protection mechanisms (request limits, anti-bot protection, abuse detection). We record security events in the audit log.

8. Roles in relation to personal data

8.1. In relation to Customer Data concerning Renters, drivers, the Customer's employees and its contractors the Customer is the controller and we act as processor on its documented instructions. The rules for this processing are set out in the Data Processing Agreement, which you conclude by accepting these Terms.

8.2. We are the controller in relation to User account data, billing data, contact data from sales enquiries and data collected on our marketing pages – details in the Privacy Policy.

8.3. The Customer ensures a legal basis for processing Customer Data and fulfils the information duties towards data subjects. We support the Customer in this in accordance with the Data Processing Agreement.

9. Availability, support and maintenance downtime

9.1. We make every effort to keep the Application continuously available, excluding maintenance windows and cases of force majeure. This is an obligation of due care – we do not guarantee any particular level of availability and we do not provide for contractual penalties or SLA credits, unless agreed otherwise under the Custom Plan.

9.2. We plan maintenance work outside the hours of 8:00–20:00 (Polish time) where possible, and we announce it at least 24 hours in advance if it may cause an interruption in access. We carry out urgent work, including security fixes, without prior notice.

9.3. We provide support by e-mail (support@onerental.app) on working days during the hours of 9:00–16:00. First response time: up to 1 working day for critical reports (Application unavailable) and up to 3 working days for the rest.

9.4. We make database backups with the ability to restore to a chosen moment (point-in-time recovery) within the last 24 hours. The backups serve to restore the service after a failure; they do not replace exporting data on your side.

10. Changes to the Application and to these Terms

10.1. We may develop the Application and add and modify features. We give at least 30 days' notice of a significant limitation or withdrawal of a feature, unless it follows from legal or security requirements.

10.2. We may change these Terms for important reasons: changes in legislation, case law or decisions of authorities, changes in the scope or manner of providing the services, changes to the billing model, security requirements or a change of infrastructure providers.

10.3. We give notice of a change by e-mail to the address assigned to the Account and by a message in the Application, at least 30 days before it takes effect. If you do not accept the change, you may terminate the Agreement before that date with immediate effect; using the Application after the change takes effect means you accept it.

10.4. Changes that are favourable to the Customer or purely editorial may take effect with shorter notice.

11. Termination of the Agreement and suspension of access

11.1. The Agreement is concluded for an indefinite period, with settlement in Billing Periods.

11.2. You may terminate the Agreement at any time, on your own in the billing panel or by e-mail. Termination takes effect at the end of the paid Billing Period; the fee for a Period that has started is not refundable, unless you are terminating the Agreement for reasons attributable to us.

11.3. We do not apply notice periods longer than two months or fees for ending the cooperation early; we do not restrict, technically or contractually, the ability to move to another provider (§ 12).

11.4. We may terminate the Agreement on 30 days' notice, and with immediate effect only where: you are in arrears with payment after the additional deadline has passed without effect (§ 6.6), you grossly breach § 7, use of the Account threatens the security of the Application or of other customers' data, or a provision of law or a decision of an authority requires it.

11.5. Suspension. Instead of terminating the Agreement we may suspend access to the Account in the cases set out in § 11.4, for the time needed to remove the cause. We give notice of the suspension without delay, together with the reasons and an indication of how access can be restored. We limit the suspension to the narrowest possible scope.

12. Data export and the end of the service

12.1. Throughout the term of the Agreement you can export reports and the change log (CSV) yourself and download the generated documents (PDF). We prepare a full export of Customer Data in a machine-readable format at your request, at no extra charge, within 14 days.

12.2. After the Agreement ends, the Account switches to read-only mode for 30 days, during which you can download Customer Data. At your request submitted within that period we will extend it by a further 30 days.

12.3. After the period under § 12.2 ends we delete Customer Data from the production environments; backups expire in accordance with their retention cycle (§ 9.4). We keep only data whose storage is required by law (including accounting records – 5 years).

12.4. At your request submitted before the data is deleted we will give reasonable support in migrating to another provider – free of charge in the standard scope, and for non-standard formats or support going beyond the export under § 12.1 – at an agreed rate.

13. Intellectual property

13.1. The Application, its code, interface, documentation, trade marks and marketing materials are our property or the property of our licensors.

13.2. For the term of the Agreement we grant you a non-exclusive, non-transferable, non-sublicensable licence to use the Application in accordance with these Terms, solely for the purposes of your own activity.

13.3. Customer Data remains your property. We access it only to the extent necessary to provide the service, to maintain it, to provide support and to meet obligations arising from the law.

13.4. We may create and use statistical and aggregated data about the use of the Application, provided that it does not allow the Customer, the Users or the Renters to be identified.

13.5. If you send us suggestions or comments about the Application, we may use them without remuneration and without restriction.

13.6. Using your name or logo in our reference materials requires your prior consent.

14. Liability

14.1. The Application is made available without a warranty of fitness for a particular purpose going beyond the description in § 3. We do not guarantee that it will be free of all errors or that it will meet the Customer's individual expectations.

14.2. Our liability for damage caused in connection with the Agreement is limited to the amount of the net subscription fees paid by the Customer in the 12 months preceding the event.

14.3. We are not liable for lost benefits or indirect damage, including loss of profit, contracts, goodwill or savings.

14.4. The limitations in § 14.2–14.3 do not apply to damage caused intentionally, to personal injury, to liability that cannot be excluded by law, or to a breach by us of the obligations arising from the Data Processing Agreement.

14.5. We are not liable for the consequences of providing incorrect data, for the actions of Users, for content published by the Customer, or for the operation of third-party services that the Customer uses at its own risk.

14.6. Force majeure. Neither party is liable for failure to perform its obligations caused by an extraordinary event beyond its control (natural disaster, war, failure of providers' infrastructure, act of a public authority, widespread network outage).

15. Confidentiality

15.1. The parties undertake to keep confidential the technical, commercial and organisational information of the other party obtained in connection with the Agreement, for its term and for 3 years after it ends.

15.2. The obligation does not cover information that is publicly available, known to a party before disclosure or disclosed at the demand of an authorised authority.

16. Complaints

16.1. You submit complaints about the operation of the Application by e-mail to support@onerental.app, giving the name of the Organisation, a description of the problem, the time it occurred and how you expect it to be resolved.

16.2. We consider a complaint within 14 days of receiving it, and in matters requiring additional findings – within 30 days, informing you in advance of the reason for the delay. We send the reply to the e-mail address from which the complaint was submitted.

16.3. Complaints about the rental of a vehicle or equipment are handled by the rental company that is a party to the rental agreement, not by us.

17. Sole trader with consumer rights

17.1. If you are a natural person running a business and concluding the Agreement is not of a professional character for you (resulting in particular from the subject of the business activity disclosed in CEIDG), the provisions on unfair contract terms, on the statutory warranty (rękojmia) and the right to withdraw from a distance contract within 14 days apply to you.

17.2. Starting to use the Application before the withdrawal period ends happens at your express request; if you withdraw, you will pay for the performance provided up to the moment of withdrawal.

17.3. In practice the trial period (§ 5.3) is free of charge, so withdrawing before the first payment involves no cost.

18. Subcontractors and third-party services

18.1. To provide the service we use the infrastructure and tool providers listed in the Subprocessor list. We are liable for their actions as for our own within the scope covered by the Agreement.

18.2. External services that the Customer uses alongside the Application (for example the registrar of its own domain) are subject to the terms of those services; we are not liable for their availability or changes.

19. Governing law and disputes

19.1. The Agreement is governed by Polish law, subject to mandatory provisions of European Union law.

19.2. The parties will attempt to resolve a dispute amicably within 30 days of delivery of a demand. If that fails, the dispute is settled by the court with jurisdiction over the Provider's registered office – Sąd Rejonowy w Olkuszu (the District Court in Olkusz), and in matters falling within the subject-matter jurisdiction of a regional court – Sąd Okręgowy w Krakowie (the Regional Court in Kraków).

20. Final provisions

20.1. The Customer may not transfer its rights and obligations under the Agreement without our consent. We may transfer the Agreement to a legal successor or to a buyer of the business, giving 30 days' notice of this; if you do not accept the change, you may terminate the Agreement.

20.2. The invalidity of a single provision does not affect the validity of the others; in its place a provision closest to the economic purpose of the Agreement applies.

20.3. These Terms were drawn up in Polish and are binding in that version. If we make a translation into another language available, it is for information only; in the event of any discrepancy the Polish version prevails.

20.4. We make previous versions of these Terms available on request sent to support@onerental.app.
